Agreement to Terms

Welcome to ArdentOperations. These Terms of Service ("Terms") govern your access to and use of our website, services, and any related content, features, or functionality (collectively, the "Services"). ArdentOperations provides professional web development, design, and digital consulting services primarily to professional service firms. Our Services include but are not limited to:

  • Web hosting and deployment assistance
  • SEO and digital strategy consultation

User Responsibilities

When using our Services, you agree to:

  • Provide accurate, current, and complete information when requested
  • Maintain the confidentiality of any account credentials
  • Notify us immediately of any unauthorized use of your account

Client Engagement and Project Terms

Project Agreements

When you engage ArdentOperations for services, we will provide you with a detailed project proposal, statement of work, or service agreement outlining the scope, timeline, deliverables, and pricing. These project-specific agreements supplement and are subject to these Terms.

Payment Terms

Unless otherwise specified in your project agreement:

  • Payment terms will be outlined in your project proposal or invoice
  • We typically require a deposit before work begins
  • Final payment is due upon project completion or as specified in your agreement
  • Late payments may be subject to interest charges or suspension of services
  • All fees are non-refundable unless otherwise stated in writing

Client Responsibilities

To ensure successful project completion, clients are responsible for:

  • Providing timely feedback and approvals
  • Supplying necessary content, assets, and access credentials
  • Ensuring they have rights to any materials provided to us
  • Responding to requests for information within agreed-upon timeframes
  • Designating a primary point of contact for the project

Delays caused by client non-responsiveness may result in project timeline adjustments or additional fees.

Intellectual Property Rights

Ownership of Deliverables

Upon receipt of full payment, you will own the final deliverables created specifically for your project (e.g., custom designs, content). However, we retain ownership of:

  • Our proprietary methodologies, processes, and tools
  • Pre-existing code, frameworks, and reusable components
  • Any work created prior to full payment
  • The right to use completed projects in our portfolio and marketing materials

Third-Party Components

Our work may incorporate third-party software, libraries, frameworks, or services (e.g., open-source components, fonts, plugins). These components remain subject to their respective licenses, and you agree to comply with all applicable third-party license terms.

Trademarks

"ArdentOperations" and our logo are our trademarks. You may not use our trademarks without our prior written consent. All other trademarks referenced on our website are the property of their respective owners.

Warranties and Disclaimers

Limited Warranty

We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards. We will make reasonable efforts to correct any errors or defects in our work during an agreed-upon warranty period (typically 30 days post-launch).

Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN A PROJECT AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARDENTOPERATIONS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our engagement. This obligation survives the termination of any project or agreement. Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from third parties.

Termination

Termination by Either Party

Either party may terminate a project or service agreement with written notice as specified in the project agreement. Upon termination:

  • Client shall pay for all work completed up to the termination date
  • We will deliver any completed work upon receipt of payment
  • We may retain work in progress until final payment is received
  • Any deposits or prepayments are non-refundable unless otherwise agreed

Termination for Cause

We reserve the right to immediately terminate or suspend Services if you breach these Terms, fail to make timely payments, or engage in unlawful or harmful conduct.

Indemnification

You agree to indemnify, defend, and hold harmless ArdentOperations and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising out of or related to: (a) your use of our Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content or materials you provide to us.

Dispute Resolution

Informal Resolution

In the event of any dispute, both parties agree to first attempt to resolve the matter through good faith negotiations and direct communication.

Arbitration

If informal resolution is unsuccessful, any dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless otherwise agreed in a project agreement. The arbitration shall take place remotely or in a mutually agreed-upon location.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, or internet/utility failures.

General Provisions

Entire Agreement

These Terms, together with any project agreements and our Privacy Policy, constitute the entire agreement between you and ArdentOperations regarding our Services and supersede all prior agreements and understandings.

Modifications

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our Services after such changes constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction.
